A busca por ativos estressados no agro \u00e9 o foco da Fictor Foods<\/a> (FICT3), que come\u00e7ou a ser negociada na bolsa brasileira nesta quinta-feira. A opera\u00e7\u00e3o aconteceu por meio de um IPO reverso, quando uma empresa fechada compra uma companhia listada. O alvo foi uma companhia que atuava com treinamento de traders, mas a novata chega com essa tese diferente para atrair investidores.<\/p>\r\n

Fictor Alimentos is the result of the purchase of control of Atompar - which was already listed on B3 and belonged to the founders, Carol Paiffer and Joaquim Paiffer, and to Exame magazine - by two other holding companies, Grupo Fictor and Aqwa (formerly Conquest). Segundo Andr\u00e9 Vasconcellos<\/a>, diretor de estrat\u00e9gia, planejamento e rela\u00e7\u00f5es com investidores, a companhia vai avaliar neg\u00f3cios em estresse financeiro, focando especificamente em ativos estressados no agro, como empresas em recupera\u00e7\u00e3o judicial, processo de regime falimentar, sem fluxo de caixa ou capital de giro.<\/p>\r\n

O timing parece prop\u00edcio, j\u00e1 que a desacelera\u00e7\u00e3o no ritmo do agroneg\u00f3cio nos \u00faltimos meses fez crescer o n\u00famero de pedidos de RJ, criando um cen\u00e1rio favor\u00e1vel para a aquisi\u00e7\u00e3o de ativos estressados no agro.<\/p>\r\n

In these transactions, what usually attracts interested parties are tax credits. But, according to the executive, Fictor's bet is also to help with the restructuring and give scale with the shareholders' experience in this market. Fictor should remain pre-operational until the beginning of the year, when it intends to complete the composition of the executive team, and have acquisitions by the end of the first semester. Apesar de n\u00e3o ter pressa para os M&As de ativos estressados no agro, a companhia queria j\u00e1 ter a estrutura pronta e optou por fazer isso de uma forma que lhe pareceu tamb\u00e9m mais econ\u00f4mica e eficiente. \u201cO IPO reverso \u00e9 um caminho natural quando se tem uma safra desafiadora no mercado. Esse movimento deve ser tend\u00eancia nos pr\u00f3ximos anos\u201d, diz Vasconcellos, que \u00e9 tamb\u00e9m vice-presidente do conselho de administra\u00e7\u00e3o do Instituto Brasileiro de Rela\u00e7\u00f5es com Investidores (Ibri).<\/p>\r\n

The position of CEO and chairman of the board of Fictor Alimentos is held by G\u00f3is, the group's co-founder. In October, the company announced a new board of directors, made up of Phillippe Rubini<\/a>from the Fictor group, Maur\u00edcio Dutra, from the real estate company Alpha Business, and M\u00e1rcia Campos, who is an independent member.<\/p>\r\n

The company had already rung a symbolic bell on B3 at the beginning of the month. Today, at the ticker's debut, the small cap rose 2% and has a market value of just R$ 100 million. The company has not detailed whether it plans to raise funds via a follow-on.<\/p>\r\n\r\n\r\n\r\n
